Summary: These terms govern our proposal writing services. By engaging us, you agree to
provide necessary information, meet payment terms, and respect our intellectual property. We agree to
deliver quality work on time and maintain strict confidentiality. Both parties can terminate for cause.

These Terms of Service ("Terms") govern your use of RFP Success Partners' proposal writing and consulting
services ("Services"). By engaging our Services, you agree to these Terms.
1. Services Overview
RFP Success Partners provides professional proposal writing, editing, compliance review, and related
consulting services for government contractors. Specific services include:
- Full proposal writing and development
- Proposal editing and review
- Compliance review and verification
- Proposal strategy and planning
- Capability statement development
- Rush proposal services
2. Engagement and Scope
Project Agreements
Each project begins with a Statement of Work (SOW) or engagement letter that specifies:
- Scope of services to be provided
- Deliverables and timelines
- Pricing and payment terms
- Client responsibilities and inputs required
Client Responsibilities
To enable us to deliver quality services, you agree to:
- Provide complete and accurate RFP documents and source materials
- Respond to requests for information in a timely manner
- Provide access to subject matter experts as needed
- Review and provide feedback on drafts within agreed timelines
- Ensure final approval and submission of proposals
3. Pricing and Payment
Fees
Our fees are based on:
- Scope and complexity of the proposal
- Timeline and urgency (rush services incur additional fees)
- Level of support required
All fees are outlined in the project SOW before work begins.
Payment Terms
- Deposit: 50% deposit required before work commences
- Final Payment: Remaining 50% due upon delivery of final proposal
- Payment Methods: Bank transfer, credit card, or other agreed methods
- Late Payments: Invoices not paid within 14 days may incur late fees
Cancellation and Refunds
- If you cancel before work begins, we refund your deposit minus a 10% administrative fee
- If you cancel after work has started, fees are prorated based on work completed
- If we cannot deliver services as promised, we will refund payments received
4. Confidentiality and Non-Disclosure
We take confidentiality seriously. All information you provide is protected under strict
confidentiality:
- We sign comprehensive NDAs for all client engagements
- Your proprietary information, pricing, and strategies are never shared
- All team members are bound by confidentiality agreements
- Documents are stored securely and deleted upon request after project completion
- We will not disclose our work relationship without your permission
This confidentiality obligation survives termination of our engagement.
5. Intellectual Property
Client Materials
You retain all rights to materials you provide to us (company information, technical data, past performance,
etc.).
Deliverables
Upon full payment, you own all rights to the proposal content we create for you. We may retain a copy for our
records but will not use it for other clients or purposes.
Our Templates and Methodologies
We retain rights to our proprietary templates, processes, and methodologies. These are not transferred to
clients.
6. Quality and Performance
Our Commitments
We commit to:
- Deliver services with professional care and competence
- Meet agreed deadlines (we have never missed a proposal deadline)
- Ensure 100% compliance with RFP requirements
- Provide multiple review cycles to ensure quality
- Respond to your communications promptly
No Guarantee of Award
While we strive to create winning proposals, we cannot guarantee that your proposal will be selected for
contract award. Federal procurement involves many factors beyond proposal quality.
7. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW:
- Our liability is limited to the fees paid for the specific project
- We are not liable for indirect, consequential, or special damages
- We are not liable for losses resulting from information you provide
- We are not liable for contract award decisions made by government agencies
8. Indemnification
You agree to indemnify us against claims arising from:
- Inaccurate or misleading information you provide
- Your misrepresentation of capabilities or past performance
- Your violation of laws or regulations
- Content you provide that infringes third-party rights
9. Professional Standards
We adhere to the highest ethical standards:
- We will not assist in creating fraudulent or misleading proposals
- We will not misrepresent your capabilities or past performance
- We require you to provide truthful information
- We may decline engagements that conflict with our ethical obligations
10. Termination
Termination by You
You may terminate our engagement at any time. Fees will be calculated based on work completed to the
termination date.
Termination by Us
We may terminate if:
- You fail to pay invoices
- You fail to provide necessary information or inputs
- You request services that violate ethical or legal standards
- Circumstances make it impossible to deliver services
Effect of Termination
- You must pay for all work completed to termination date
- We will deliver work-in-progress in its current state
- Confidentiality obligations continue indefinitely
11. Dispute Resolution
If a dispute arises:
- Good Faith Discussion: We will first attempt to resolve through good faith negotiation
- Mediation: If negotiation fails, we agree to mediation before pursuing other remedies
- Governing Law: These Terms are governed by [Your Jurisdiction] law
12. General Provisions
Entire Agreement
These Terms, together with project SOWs and NDAs, constitute the entire agreement between parties.
Modifications
Changes to these Terms must be in writing and signed by both parties. Project-specific terms in an SOW
supersede these general Terms where they conflict.
Severability
If any provision is found unenforceable, the remaining provisions continue in full effect.
Force Majeure
Neither party is liable for delays caused by circumstances beyond reasonable control (natural disasters,
pandemics, etc.).
Assignment
You may not assign these Terms without our written consent. We may assign to affiliates or in connection with
a business sale.
13. Changes to Terms
We may update these Terms from time to time. Changes will be posted on our website with an updated "Last
Updated" date. Existing projects continue under the Terms in effect when the project began.
